Skale Terms of Service

These Terms of Service (the “Terms”) are a legally binding agreement between you and Skale (“Skale,” “we,” “our,” or “us”) governing access to and use of the Skale platform, including the dashboard, APIs, software, SDK/agent, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. Accounts and Eligibility

You must be at least 18 years old and have authority to bind your organization (if applicable). You are responsible for your account credentials and for all activity under your account.

2. Description of the Services

Skale provides AI/ML cost optimization and monitoring across supported cloud providers (e.g., AWS, Azure, DigitalOcean). You authorize Skale to access read-only metrics and billing data to deliver analytics, recommendations, automations (where enabled), and dashboards. We do not require write permissions unless explicitly requested for an automation you enable.

3. Customer Data & Licenses

You retain ownership of all data you provide (“Customer Data”). You grant Skale a limited, non-exclusive, worldwide, royalty-free license to host, process, and display Customer Data solely to provide and improve the Services. You represent that you have all necessary rights to provide Customer Data and that its use by Skale as permitted here will not violate any law or third-party rights.

4. Acceptable Use

  • No unlawful, harmful, fraudulent, or infringing activity
  • No reverse engineering, security bypass, or interference with the Services
  • No access to or use of other customers’ data

5. Third-Party Services and Subprocessors

We may use third parties (e.g., hosting, analytics, LLM providers) to operate the Services. We remain responsible for their performance subject to these Terms. See our Privacy Policy for data processing details.

6. Security

We implement appropriate technical and organizational measures (e.g., TLS in transit, role-based access, audit logs). You are responsible for securing your environments and complying with cloud-provider terms.

7. Service Changes; Availability

Features may evolve. We strive for high availability but do not guarantee uninterrupted or error-free operation.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKALE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES AND ARE NOT GUARANTEES OF COST OR PERFORMANCE OUTCOMES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKALE’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SKALE FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SKALE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

10. Indemnification

You will defend and indemnify Skale against third-party claims arising from your breach of these Terms or misuse of the Services.

11. Term and Termination

Either party may terminate for material breach if not cured within 30 days’ notice. Upon termination, your access ceases and we may delete data per our retention policy.

12. Governing Law

These Terms are governed by the laws of the jurisdiction where Skale is established, without regard to conflict-of-law rules, except where mandatory local law applies.

13. Privacy; Cookies

Your use of the Services is subject to our Privacy Policy and Cookie Policy.
